These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“Provider,” “you,” or “your”) and BioDentrix, an Arizona limited liability company (“BioDentrix,” “we,” “us,” or “our”). By accessing or using the BioDentrix platform, website, provider portal, or any associated services (collectively, the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must immediately discontinue use of the Service.
BioDentrix reserves the right to modify these Terms at any time. Continued use of the Service following any modification constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
BioDentrix is a sales, marketing, and technology platform company. BioDentrix provides licensed healthcare practitioners with access to a digital ordering platform, clinical education materials, marketing resources, business implementation tools, and practice integration support related to regenerative biologics.
BioDentrix does not own, operate, manage, or hold any ownership interest in any laboratory, manufacturing facility, compounding pharmacy, or distribution center. BioDentrix is not an FDA-registered facility. BioDentrix is not a compounding pharmacy or chemical compounding facility as defined under Section 503A or 503B of the Federal Food, Drug, and Cosmetic Act. BioDentrix does not manufacture, compound, process, repackage, relabel, store, handle, ship, distribute, or take physical possession of any biological product, pharmaceutical, or medical device at any point in the supply chain.
All biological products available through the BioDentrix platform are manufactured, processed, tested, certified, stored, packaged, shipped, and distributed exclusively by independently owned and operated third-party laboratory partners (“Lab Partners” or “Labs”). Lab Partners represent that they maintain their own FDA registrations, ISO certifications, GMP/GLP compliance, and all other applicable regulatory credentials. BioDentrix makes no independent verification of Lab Partner credentials, certifications, or regulatory standing and assumes no responsibility for the accuracy of such representations.
BioDentrix provides a technology platform through which Providers may browse product offerings, place orders, manage account information, and access educational and marketing materials. BioDentrix does not handle, touch, inspect, test, or physically interact with any product at any time.
BioDentrix makes no representations, warranties, or guarantees — express or implied — regarding the safety, efficacy, quality, potency, sterility, viability, or fitness for any particular purpose of any product ordered through the platform. All product claims, certifications, batch documentation, donor traceability records, expiration data, and certificates of analysis are provided solely by the Lab Partners.
BioDentrix provides sales and marketing information, educational content, and business integration resources to help Providers implement regenerative biologics into their clinical practice. This information is provided for educational and business purposes only and does not constitute medical advice, clinical guidance, treatment recommendations, or diagnostic protocols.
Any additional services requested by Providers, including but not limited to custom marketing materials, practice consultations, or specialized training, are subject to separate agreements and additional fees as determined by BioDentrix in its sole discretion.
You must be at least eighteen (18) years of age to access or use the Service.
The Service is available exclusively to licensed healthcare practitioners who hold current, valid, and unrestricted professional licenses in their respective states and jurisdictions of practice.
All Providers must maintain a current, active National Provider Identifier (NPI) number and, where applicable, a current, active Drug Enforcement Administration (DEA) registration number. NPI and DEA credentials must not be revoked, suspended, restricted, surrendered, or expired. Providers must maintain their licenses and credentials in good standing with their respective state medical boards, state licensing authorities, the federal government, and all applicable regulatory and governing bodies.
Providers are solely responsible for maintaining all required licenses, certifications, credentials, and registrations throughout their use of the Service. BioDentrix reserves the right to suspend or terminate access to any Provider whose credentials are revoked, suspended, expired, restricted, or otherwise not in good standing, without notice or refund.
You represent and warrant that all information provided to BioDentrix — including but not limited to your name, practice information, NPI number, DEA number, contact information, and licensing credentials — is truthful, accurate, current, and complete. You agree to promptly update any information that changes.
All prices displayed on the platform are subject to change without notice. BioDentrix reserves the right to modify pricing at any time.
All payments made through the BioDentrix platform are processed by Stripe, Inc. (“Stripe”), an independent third-party payment processor. BioDentrix is not a merchant of record. BioDentrix does not directly process, handle, or store full credit card numbers, bank account numbers, or other sensitive payment credentials. Payment card data is transmitted directly to and stored by Stripe in accordance with Stripe's own security protocols and PCI DSS compliance standards.
BioDentrix is not liable for any errors, failures, delays, unauthorized charges, security breaches, data loss, or other issues arising from or related to Stripe's payment processing systems. Any disputes regarding payment processing must be directed to Stripe and/or your financial institution.
By saving a payment method to your BioDentrix account, you authorize BioDentrix to transmit your payment information to Stripe for storage and future transaction processing. BioDentrix does not store full card details — only masked identifiers (last four digits, card brand, expiration date) are retained for display purposes.
All sales processed through the BioDentrix platform are final. No refunds will be issued once a payment has been successfully processed, except in the sole event that a Lab Partner fails to ship the ordered product. In such cases, BioDentrix will facilitate a refund or credit at its sole discretion. BioDentrix is not responsible for product quality, condition upon delivery, shipping delays, damage during transit, or any other matter within the control of the Lab Partner or shipping carrier.
Providers agree not to initiate chargebacks or payment disputes for orders that have been fulfilled by Lab Partners. Fraudulent or unwarranted chargebacks may result in immediate suspension or termination of your account.
BioDentrix shall not be liable for any injury, harm, adverse reaction, side effect, complication, death, property damage, or any other loss or damage arising from or related to the use, misuse, administration, storage, handling, or disposal of any product ordered through the platform. All product liability rests solely with the Lab Partner that manufactured and distributed the product and/or the Provider that administered it.
BioDentrix is not a healthcare provider and does not practice medicine. BioDentrix shall not be liable for any acts of medical malpractice, negligence, improper administration, misdiagnosis, failure to obtain informed consent, or any other clinical act or omission by any Provider, Lab Partner, or their respective employees, agents, or contractors.
Providers and Lab Partners are independent entities. They are not employees, agents, affiliates, subsidiaries, joint ventures, or partners of BioDentrix. BioDentrix exercises no control over the clinical decisions, business practices, regulatory compliance, or day-to-day operations of any Provider or Lab Partner.
You agree to indemnify, defend, and hold harmless BioDentrix, its officers, directors, members, managers, employees, agents, and assigns from and against any and all claims, demands, actions, suits, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (i) your use of the Service; (ii) your administration or use of any product ordered through the platform; (iii) any breach of these Terms; (iv) any violation of applicable laws, regulations, or professional standards; (v) any claim brought by a patient, regulatory body, or third party related to your practice; or (vi) any dispute between you and a Lab Partner.
To the maximum extent permitted by law, BioDentrix's total aggregate liability for any and all claims arising from or related to the Service shall not exceed the total amount paid by you to BioDentrix during the twelve (12) months preceding the claim.
Once an order has been placed and the transaction finalized, BioDentrix assumes no further responsibility or liability for the product, its shipment, delivery, handling, storage, administration, or clinical outcome. The Provider identified by the NPI and/or DEA number associated with the order assumes full responsibility and liability for all subsequent handling and use of the product.
BioDentrix makes no medical claims. The products referenced on this platform are not intended to diagnose, treat, cure, or prevent any disease or medical condition.
The statements made on this website and platform have not been evaluated by the U.S. Food and Drug Administration. Biological products, including but not limited to stem cells, exosomes, Wharton's Jelly, and amniotic tissue allografts, are minimally manipulated human cells, tissues, and cellular and tissue-based products (HCT/Ps) regulated under 21 CFR Part 1271. These products are intended for homologous use only and are administered at the sole discretion of a licensed healthcare provider.
Results may vary. No guarantees of specific clinical outcomes are made or implied by BioDentrix, its marketing materials, educational content, or any representative.
The Service is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or availability.
Information collected by BioDentrix — including but not limited to your name, contact information, practice details, NPI number, DEA number, order history, and payment identifiers — is used solely for the operation of the BioDentrix platform, order processing, account management, communications, and internal business purposes. BioDentrix will not sell your personal information to third parties.
BioDentrix may disclose your information to Lab Partners solely for the purpose of fulfilling orders you have placed. BioDentrix may also disclose information as required by law, regulation, subpoena, court order, or governmental request.
BioDentrix is not a “covered entity” under the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”). One or more Lab Partners may or may not be a “covered entity” or “business associate” under HIPAA. While state-specific privacy laws may apply, HIPAA does not necessarily apply to an entity simply because health information is involved, and HIPAA may not apply to your transactions or communications with BioDentrix.
To the extent BioDentrix is deemed a “business associate” of any Lab Partner, BioDentrix may be subject to certain provisions of HIPAA with respect to “protected health information” (“PHI”) as defined under HIPAA. Any medical or health information subject to specific protections under applicable state or federal laws (“Protected Information”) will be used and disclosed only in accordance with such applicable laws. Information that does not constitute Protected Information may be used in any manner permitted under our Privacy Policy.
Provider information collected by BioDentrix is for BioDentrix's internal use only and will not be distributed, sold, rented, or shared with any third party except as necessary to fulfill orders or as required by law.
You are responsible for providing and maintaining, at your own risk and expense, appropriate software and hardware capabilities to enable use of the Service, including but not limited to a computer or mobile device with Internet access. You are solely responsible for any fees, including Internet connection or mobile fees, that you incur when accessing the Service.
You have a duty to provide truthful, accurate, and complete information in all forms, communications, and submissions through the Service.
BioDentrix reserves the right to change the access configuration, features, functionality, or requirements of the Service at any time without prior notice.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
The Service is currently available within the United States only. Availability may vary by state based on regulatory requirements. BioDentrix reserves the right to limit, suspend, or terminate access to the Service for any reason, including but not limited to suspected fraud, violation of these Terms, or regulatory compliance concerns. BioDentrix does not guarantee uninterrupted or error-free access to the Service.
Any dispute, controversy, or claim arising from or relating to these Terms, the Service, or your relationship with BioDentrix shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. Arbitration shall take place in Maricopa County, Arizona. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
You agree to resolve disputes with BioDentrix on an individual basis only. You waive any right to participate in a class action, class arbitration, or any other representative or consolidated proceeding.
These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law principles.
In any arbitration or legal proceeding arising from these Terms, the prevailing party shall be entitled to recover its reasonable attorneys' fees and costs from the non-prevailing party.
BioDentrix may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Sections 5(e), 6, 7, 8, 11, and 13 shall survive termination.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and BioDentrix with respect to the Service. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. BioDentrix's failure to enforce any provision shall not constitute a waiver. BioDentrix may assign these Terms without restriction. You may not assign or transfer these Terms without BioDentrix's prior written consent.
BioDentrix operates as a digital platform connecting licensed medical providers with FDA-registered laboratory partners that manufacture biologic products. BioDentrix is not a manufacturer, producer, or owner of any biologic, peptide, regenerative therapy, or related product offered through the platform. All products are manufactured by independent third-party laboratory partners who maintain sole responsibility for:
(a) Product quality, purity, sterility, and potency
(b) FDA compliance, GMP/GLP adherence, and regulatory standards
(c) Product warranties and manufacturer guarantees
(d) Adverse event reporting and clinical safety
(e) Shipping, packaging, and chain-of-custody integrity
Providers acknowledge that BioDentrix bears no liability for product defects, contamination, adverse patient reactions, or any harm arising from the use of products purchased through the platform. All claims, warranty issues, and product liability matters must be directed to the originating laboratory partner through BioDentrix.
The Sōlix and BioDentrix brand names, logos, platform technology, lab partner relationships, pricing structures, and proprietary methodologies are the exclusive intellectual property of Sōlix Operating Company and its subsidiaries. Providers agree:
(a) Not to use, replicate, reference, or imply association with BioDentrix branding outside the scope of authorized provider activities
(b) Not to disclose lab partner identities, contact information, or product sourcing details to any third party
(c) Not to share pricing, invoices, order details, or platform-specific information with competing platforms or unaffiliated parties
(d) That all confidential information shared by BioDentrix remains protected indefinitely, regardless of provider relationship status
Providers are strictly prohibited from contacting, soliciting, negotiating with, or attempting to source products directly from any laboratory partner of BioDentrix outside the established platform without express written informed consent from BioDentrix. This includes but is not limited to:
(a) Attempting to identify or contact lab partners by reverse-engineering shipping labels, packaging, or product documentation
(b) Soliciting lab partners for direct sales agreements
(c) Sharing lab partner information with other providers or third parties
(d) Bypassing the BioDentrix platform for any product, service, or communication that should normally flow through the platform
Any breach of this section constitutes a material breach of (i) the Provider Agreement between the Provider and BioDentrix, AND (ii) the Laboratory Partnership Agreement between BioDentrix and the lab partner. Consequences include immediate termination of provider access, forfeiture of pending orders and account balances, legal action, injunctive relief, and recovery of damages, attorneys' fees, and lost profits.
By placing each order through the BioDentrix platform, the Provider re-affirms acceptance of these Terms & Conditions, the Privacy Policy, and all related agreements. This acceptance is recorded with each transaction in BioDentrix systems, including timestamp and IP address, and may be used as evidence of binding agreement in any legal proceeding.
All Providers and Lab Partners are required to disclose ALL doing-business-as (“DBA”) names, alternate trade names, parent companies, subsidiaries, and any affiliated entities at the time of onboarding. Operating under any undisclosed entity to access the BioDentrix platform, source products from BioDentrix lab partners, or interact with BioDentrix providers constitutes a material breach of this Agreement and the binding Provider Agreement or Laboratory Partnership Agreement on file.
If a Provider or Lab Partner is found to be operating under an undisclosed entity in any business with BioDentrix or its network, this is considered intent to defraud BioDentrix, its providers, and its lab partners. Penalties include immediate termination of access, forfeiture of pending orders and credits, liquidated damages, full disgorgement of profits earned through undisclosed operations, attorneys' fees, court costs, and all legal remedies available.
BioDentrix maintains a layered legal framework consisting of the following documents:
(a) Terms & Conditions — this document — the general public terms governing use of the BioDentrix platform and website.
(b) Privacy Policy — the data and information governance terms.
(c) Provider Platform Access & Services Agreement (“Provider Agreement”) — a standalone, signed, legally-binding contract between BioDentrix and each Provider, executed during the Provider Application process. This document contains liquidated damages provisions, non-circumvention clauses, brand protection terms, DBA disclosure requirements, and per-order acceptance recording. The signed Provider Agreement is on file with full audit trail (signature, timestamp, IP address, device, screen resolution, document hash).
(d) Laboratory Partnership Agreement — a standalone, signed, legally-binding contract between BioDentrix and each Laboratory Partner, executed during the Lab Partner Onboarding process. This document contains non-circumvention clauses ($250,000 per violation), DBA disclosure requirements ($500,000 penalty for undisclosed entities), insurance requirements, indemnification clauses, and product liability obligations. The signed Lab Partnership Agreement is on file with full audit trail.
When this Terms & Conditions document references the “Provider Agreement” or “Laboratory Partnership Agreement,” it refers to the actual signed standalone contracts on file in BioDentrix's legal records system. In the event of a conflict between this Terms & Conditions document and a signed Provider Agreement or Laboratory Partnership Agreement, the standalone signed agreement controls.
